Terms of Service

1. Who we are

These Terms of Service ("Terms") govern your access to and use of UNI Networks' products and services, including:

  • the UNI mobile application (the "UNI App"),
  • the PopWatch by UNI mobile application ("PopWatch"),
  • our websites, in-app experiences, and any related services (collectively, the "Services").

In these Terms, "UNI," "we," "us," and "our" refer to UNI Networks (and its affiliates, where applicable). "You" refers to the individual using the Services.

2. Acceptance of these Terms

By downloading, accessing, or using the Services, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Services.

3. Eligibility

You must be at least 18 years old to use the Services (or the minimum age required in your jurisdiction). If you are under the age of majority where you live, you may use the Services only with the consent of a parent or legal guardian, who is responsible for your use.

4. Accounts, sign-in, and security

You may need an account to use certain features. You agree to:

  • provide accurate information,
  • keep your credentials secure,
  • promptly notify us of any unauthorized use of your account.

We may suspend or terminate accounts that we believe are compromised, used fraudulently, or used in violation of these Terms.

5. The UNI ecosystem and linked experiences

UNI and PopWatch are designed to work together as an ecosystem. Some features may:

  • let you move between UNI and PopWatch,
  • let you carry certain preferences across apps (including "Social DNA," described below),
  • surface "real-world counterparts" of media you engage with, and surface media context for real-world plans.

The Services may also display and link to third-party services (e.g., ticketing, streaming, mobility, reservations, mapping, and other partners). We do not control these third parties, and your use of their services is governed by their terms and policies.

6. Social DNA and personalization

The Services may enable you to set preferences (such as favorite entertainment categories, franchises, artists, sports, hobbies, venues, cuisines, and other interests) and may use those preferences to personalize recommendations and content. We refer to this preference framework and related personalization as "Social DNA."

Social DNA is intended to help tailor what you see, not to provide guarantees about availability, pricing, safety, legality, suitability, or outcomes. You control many preference inputs and may be able to edit them in-app.

7. Recommendations and "routing"

UNI may surface recommendations for things to watch and things to do. These recommendations may be based on:

  • your Social DNA preferences,
  • engagement signals within the Services,
  • your approximate location (if you enable it),
  • partner-provided data and public information.

Recommendations are informational only. You are responsible for verifying details (including time, date, location, availability, age restrictions, accessibility, cancellation policies, refunds, and safety considerations) before acting.

8. Third-party APIs, data sources, and attribution

The Services may use or display information sourced from third parties, including via APIs and other integrations (for example, streaming metadata, event listings, venues, points of interest, and availability links).

We do not guarantee that third-party content is accurate, complete, current, or available. Third-party providers may change, remove, limit, or block data at any time, which may affect the Services.

Attribution, logos, and marks for third-party content may appear within the Services. All third-party marks are the property of their respective owners.

9. In-app browser and external links

The Services may include an in-app browser or deep links that open third-party websites or apps. When you click an external link:

  • you leave our controlled environment (even if opened inside an in-app browser),
  • your interaction may be governed by the third party's terms and policies,
  • third parties may collect information about you and your device.

You are responsible for your activity on third-party sites and services.

10. User content and submissions

The Services may allow you to submit or post content (for example, profile information, preference selections, saves, plans, ratings, or other inputs) ("User Content").

You retain ownership of your User Content. However, you grant UNI a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to host, store, reproduce, modify, display, perform, and use your User Content to operate, improve, and provide the Services (including personalization, safety, troubleshooting, analytics, and customer support).

You represent and warrant that:

  • you have the rights to submit the User Content,
  • your User Content does not violate law or infringe others' rights,
  • your User Content does not contain malware or harmful code.

We may remove or restrict User Content at our discretion.

11. Prohibited conduct

You agree not to:

  • misuse the Services or attempt to access them using automated means not authorized by us,
  • scrape, crawl, reverse engineer, decompile, or attempt to extract source code (except where prohibited by law),
  • interfere with security features or access controls,
  • upload malware, attempt phishing, or harass others,
  • use the Services to violate law or infringe intellectual property rights,
  • impersonate others or misrepresent affiliation,
  • abuse promotions, rewards, or referral mechanisms.

12. Rewards, promotions, and Encore Coins (if available)

The Services may include rewards, points, credits, or promotional programs (including "Encore Coins" or similar). Unless stated otherwise:

  • rewards have no cash value,
  • rewards are not transferable and may be revoked,
  • programs may change, pause, or end at any time.

We may withhold or reverse rewards in cases of suspected fraud, abuse, policy violations, or errors.

13. Paid features and subscriptions (if available)

The Services may offer paid features, subscriptions, or in-app purchases (such as "UNI+"). If you purchase paid features:

  • payments are processed by the applicable app store or payment processor,
  • your purchase is subject to the provider's terms,
  • refunds are governed by the applicable store or payment provider, unless required by law.

We may change pricing, features, and availability. We will provide notice where required.

14. Intellectual property

The Services (including software, design, text, graphics, logos, and other content, excluding User Content and third-party content) are owned by UNI or its licensors and are protected by intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Services for personal, non-commercial use, in accordance with these Terms.

15. Feedback

If you provide suggestions, ideas, or feedback, you grant UNI a perpetual, irrevocable, worldwide, royalty-free license to use it without compensation to you.

16. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, UNI DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR ACCURATE.

UNI DOES NOT GUARANTEE THIRD-PARTY CONTENT, STREAMING AVAILABILITY, EVENT AVAILABILITY, PRICING, OR OUTCOMES.

17. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • UNI WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL.
  • UNI'S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICES WILL NOT EXCEED THE AMOUNT YOU PAID TO UNI FOR THE SERVICES IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM (OR $100 IF YOU PAID NOTHING).

Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

18. Indemnification

You agree to indemnify and hold harmless UNI, its affiliates, and their officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including attorneys' fees) arising from your use of the Services, your User Content, or your violation of these Terms.

19. Termination

You may stop using the Services at any time. We may suspend or terminate your access to the Services if we reasonably believe you violated these Terms or if required to do so by law.

Sections that by their nature should survive termination will survive (including intellectual property, disclaimers, limitations of liability, and indemnification).

20. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will provide notice within the Services or as otherwise required by law. Continued use after changes become effective means you accept the updated Terms.

21. Governing law

These Terms are governed by the laws of the State of Delaware, without regard to conflict of laws rules, except where prohibited by law.

22. Dispute resolution and arbitration

You and UNI agree to attempt to resolve disputes informally first. If a dispute cannot be resolved, the parties agree that disputes will be resolved by binding arbitration on an individual basis, except where prohibited by law.

CLASS ACTION WAIVER: TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOU AND UNI AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING.
